Mergers and Acquisitions (M&A) – Mergers and acquisitions are two distinct forms of business transactions that both result in the consolidation of two companies into one.  A merger occurs when two or more separate companies combine.  An acquisition occurs when one company purchases another, which can occur through:

  • Stock or Membership Interest Purchase Agreements – In this transaction, the purchaser buys the shares or membership units of a company from its owners, thereby acquiring its assets and liabilities.
  • Asset Purchase Agreements – In this transaction, the purchaser buys some or all of the assets of a company (such as equipment, vehicles, and inventory).

Non-Compete, Non-Solicitation, and Confidentiality Agreements – A non-compete agreement restricts an individual or company from engaging in a competitive business with a designated territory.  A non-solicitation agreement prohibits an individual or company from soliciting the employees or customers of another business. Confidentiality clauses prevent the disclosure of confidential and proprietary information belonging to a company.  Each of these agreements present unique challenges from a drafting perspective.  Lawyers at Redstone Law firm are well versed in the legal requirements must be met to ensure these types of agreements are enforceable under South Dakota law.

Buy-Sell Agreements – A buy-sell agreement governs a situation where one business owner leaves the business.  A well-crafted buy-sell agreement can serve the interests of all business owners and ensure a smooth departure.  The agreements can require business owners to sell their interest under pre-defined terms in the event of their death, disability, bankruptcy, divorce, or retirement.  Buy-sell agreements can also grant business owners the option to purchase the interest of other owners (known as a "right of first refusal") under certain circumstances.  Buy-sell agreements often set forth a methodology for determining the price of an ownership interest to avoid conflict and disagreement among owners.  There are numerous options for structuring a buy-sell agreement.  The experienced lawyers at Redstone Law Firm can help you determine what structure is right for you and your business.

Employment Agreements – An employment agreement defines the material terms of an employment relationship, including compensation, benefits, equity arrangements, benefits, and the duties of the employee.  Our lawyers have extensive experience drafting, reviewing, and negotiating employment agreements to ensure our clients' interests are protected.
